Customer Terms & Policies

At Overland Interiors, we take pride in designing and building high-quality modular furniture and custom interiors for vans, overland rigs, trucks, and SUVs. These terms explain our general policies and help set clear expectations for quotes, design work, build reservations, manufacturing, installation, shipping and after-sale support.

How These Terms Work with Your Project Documents

These Customer Terms & Policies apply to purchases from Overland Interiors. Custom projects that require space in our production or installation schedule also require a signed Build Reservation Agreement. Your quote, Build Reservation Agreement, approved drawings, invoice and any written change orders are collectively referred to as your “Project Documents.”

·    The Build Reservation Agreement identifies the proposed build window, preliminary project value, Design Planning Fee, Build-Calendar Deposit, payment milestones and customer decision deadline.

·    The version of these Customer Terms & Policies identified in the signed Build Reservation Agreement is incorporated into that agreement. A copy or website download will be made available before signing.

·    If a Project Document conflicts with these general website terms, the signed or later-dated Project Document controls for that project. Nothing in any Project Document limits a statutory right or remedy that cannot lawfully be waived.

Quotes & Pricing

·    Quotes are valid for 30 days unless otherwise stated.

·    Pricing may change after the validity period due to material costs, supplier pricing, exchange rates, freight, taxes or other project requirements.

·    A preliminary project value is an estimate only. Final pricing is based on the approved scope, drawings, selections, vehicle condition and measurements, and any written changes.

·    Design or scope changes may result in revised pricing, additional labour or materials, and a revised schedule.

Design Planning Services

Custom design work begins after the applicable Design Planning Fee and signed authorization have been received. The fee may cover consultation, measurements, layout and scope development, CAD drawings, revisions, production planning and preparation of project-specific digital files used to program our CNC equipment.

Design requirements vary and may involve approximately 2 to 20 hours of work. The Design Planning Fee is earned progressively as project-specific services are performed. Any unearned portion will be handled in accordance with the Build Reservation Agreement and applicable law.

Concepts, estimates and preliminary drawings do not authorize fabrication, installation or material purchasing. Written approval and the applicable payment milestone are required before Overland Interiors proceeds.

Build Reservations

For a custom project, a Build-Calendar Deposit may be required to reserve a proposed production and installation window. A reservation becomes effective only when Overland Interiors has received the signed Build Reservation Agreement and the total amount due at signing.

·    The Build-Calendar Deposit is credited toward the final project price.

·    The proposed build window is a planning estimate, not a guaranteed start date, completion date or uninterrupted block of shop time.

·    The customer must meet the decision, payment, vehicle-access and component-delivery deadlines in the Project Documents. If a material deadline is missed, Overland Interiors may release or move the reserved window after written notice and a reasonable opportunity to cure, as described in the Build Reservation Agreement.

Payment Terms

The payment schedule shown in the Build Reservation Agreement, accepted quote or invoice applies. Unless a Project Document states otherwise, custom-build payments are generally scheduled as follows:

·    Reservation and design planning: amounts shown on the invoice.

·    Final design and scope approval: 20% of the project price.

·    Materials procurement: 35% of the project price.

·    Build commencement: 30% of the project price.

·    Completion, installation labour and pickup: the remaining project balance, plus installation labour billed at $150 per hour, unless otherwise stated in writing.

Applicable taxes, approved changes, additional labour, freight, storage and other authorized charges are added where applicable. Products remain the property of Overland Interiors until paid in full, subject to applicable law.

Customer Changes

We understand that projects evolve. A requested change is not effective until documented and accepted in writing. Changes requested after drawings are approved, materials are ordered or production begins may result in additional design fees, material costs, labour charges and revised completion dates. Overland Interiors may require payment for a change before continuing the affected work.

Customer Responsibilities

·    Provide accurate vehicle information and disclose modifications, damage or conditions that may affect design, fit or installation.

·    Provide the vehicle, measurements, access, selections, approvals and customer-supplied components by the required deadlines.

·    Ensure the vehicle is safe, accessible and reasonably clean for measurement or installation, and remove personal belongings from work areas.

·    Review drawings, specifications and selections carefully. Customer approval authorizes Overland Interiors to proceed based on the approved information.

Project Delays & Rescheduling

If you need to postpone measurement, production, installation, pickup or shipping, please notify us as early as possible. We will make reasonable efforts to accommodate changes, but availability cannot be guaranteed after a project is moved.

Delays caused by late approvals, payments, customer-supplied components, vehicle access, undisclosed vehicle conditions or requested changes may affect pricing and scheduling. Projects delayed after materials are purchased or production begins may also incur documented additional labour, handling, rescheduling or storage charges.

Supplier delays, transportation disruption, severe weather, utility interruption, illness, labour shortage and other events outside Overland Interiors’ reasonable control may affect estimates. We will communicate material changes and work reasonably to reschedule.

Cancellation Policy

Cancellation must be provided in writing. The following applies subject to the signed Build Reservation Agreement and any statutory rights that cannot lawfully be waived:

Before Production Begins

·    Overland Interiors will retain the portion of the Design Planning Fee earned for services performed to the cancellation date.

·    The Build-Calendar Deposit is non-refundable when retained in accordance with the Build Reservation Agreement because production capacity was reserved and withdrawn from sale.

·    Additional payments will be refunded less completed work, project administration, restocking or supplier charges, materials purchased specifically for the project, and other documented non-recoverable costs.

After Production Begins

·    The customer is responsible for costs incurred to the cancellation date, including design, manufacturing, labour, purchased materials, custom programming, project administration, supplier or restocking charges, and other documented non-recoverable expenses.

·    Any amount remaining after those costs and applicable credits are determined will be refunded.

Cancellation by Overland Interiors

If Overland Interiors cancels a reserved project for reasons not caused by the customer and cannot offer a reasonably acceptable alternative, amounts paid for work not performed and materials not committed will be refunded. This does not limit any rights or remedies available under applicable law.

Ready-to-Install Products

Ready-to-Install products are final sale and are not eligible for return or exchange except where the product arrives damaged, is defective, or Overland Interiors shipped the incorrect item, subject to any rights that cannot lawfully be waived.

To request assistance:

  • Inspect all products immediately upon delivery and before installation.
  • Report visible or concealed damage to Overland Interiors within 24 hours of delivery.
  • Provide photographs of the product, packaging, shipping label and damaged area, together with the order number and a description of the issue.
  • Retain all original packaging, hardware and shipping materials until the claim has been reviewed.
  • Do not install, modify, use or return the product unless instructed by Overland Interiors.

Overland Interiors inspects Ready-to-Install products before shipment. Damage reported after delivery may require investigation with the shipping carrier before a replacement, repair or refund is approved.

If a claim is approved, Overland Interiors will determine the appropriate remedy, which may include repair, replacement, replacement components or a refund, subject to applicable law and product availability. Customers must follow the return instructions provided by Overland Interiors. Unauthorized returns will not be accepted.

Overland Interiors will cover authorized return-shipping costs when the approved claim results from verified shipping damage, a product defect or an Overland Interiors error. Original shipping charges are otherwise non-refundable.

The 24-hour reporting period helps us pursue carrier claims but does not limit any statutory right or remedy that cannot lawfully be waived.

Shipping

Shipping, delivery and arrival dates are estimates provided in good faith and are not guaranteed. Delays caused by carriers, weather, customs, supply interruptions or other circumstances outside Overland Interiors’ reasonable control may affect these estimates.

Customers must inspect all packages and products immediately upon delivery and before installation. Any visible or concealed shipping damage should be reported to Overland Interiors within 24 hours, together with:

  • Photographs of the damaged product
  • Photographs of the exterior and interior packaging
  • A photograph of the shipping label
  • The order number and a description of the damage

Customers must retain the product, original packaging, hardware and shipping materials while the claim is reviewed. Overland Interiors may require additional information or coordinate an inspection with the carrier.

A shipping claim does not automatically guarantee replacement or refund. Once the investigation is complete, Overland Interiors will advise whether the approved remedy is repair, replacement components, product replacement or refund, subject to applicable law.

Do not return a damaged shipment without written authorization and return instructions from Overland Interiors. The 24-hour reporting period is intended to preserve our ability to submit a carrier claim and does not limit rights that cannot lawfully be waived.

Storage & Pickup

Completed projects and products must be collected, installed or shipped by the agreed date. If a customer does not take delivery as arranged, reasonable storage, handling or rescheduling fees disclosed in the Project Documents or subsequent written notice may apply. Risk, title and payment obligations are governed by the applicable Project Documents and law.

Warranty

Our cabinetry is warranted against defects in Overland Interiors’ workmanship under normal recreational use for 2 years from delivery or installation. This warranty does not cover misuse, abuse, accidents, improper installation by others, water intrusion or damage, normal wear and tear, lack of maintenance, vehicle movement or flex, or modifications made after delivery.

Manufacturer warranties apply to third-party products where available. Warranty service may require photographs, inspection and reasonable access to the product or vehicle. This warranty is in addition to any statutory rights that cannot lawfully be excluded.

Website Terms, Copies & Electronic Acceptance

The effective date above identifies this website version. Updates posted later do not retroactively change an existing signed agreement unless both parties accept the change in writing. Customers should retain the copy or PDF provided with their Project Documents.

Approvals, notices and signatures may be exchanged electronically. Electronic signatures and counterparts are intended to have the same effect as originals, subject to applicable law.

Governing Law & Consumer Rights

These terms and the Project Documents are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. Nothing in them excludes, restricts or waives a right or remedy that cannot lawfully be excluded, restricted or waived under applicable consumer-protection legislation.
